Tencent lifts share capital by 10,570 shares after option exercise; spends HK$300.39 million to repurchase 672,000 shares

Tencent Holdings Limited released a Next Day Disclosure Return dated 26 Aug 2026 outlining two capital-market actions executed on the same day:

1. Share option exercise • 10,570 new ordinary shares were issued upon exercise of options granted under the 2023 Share Option Scheme. • The weighted-average issue price was HK$308.53 per share. • The additional shares increase the company’s issued share base by 0.00012%, taking outstanding shares to 9.10 billion (9,103,146,761).

2. On-market share repurchase • 672,000 shares were repurchased on the Hong Kong Stock Exchange at prices between HK$443.40 and HK$449.80, for an aggregate consideration of HK$300.39 million. • All repurchased shares are intended for cancellation. • Including purchases from 17–25 Aug 2026 that are still pending cancellation (total 5.39 million shares), Tencent has repurchased 41.46 million shares since the 13 May 2026 mandate, representing 0.45474% of the share capital recorded on the mandate date. • The mandate permits repurchases of up to 911.80 million shares; approximately 4.5% of this limit has been utilised.

Regulatory framework • The current repurchase imposes a 30-day moratorium—lasting until 25 Sep 2026—on issuing new shares or selling treasury shares, in line with Hong Kong Listing Rule 10.06(3)(a).

All transactions were authorised by the board and executed in full compliance with Hong Kong Listing Rules, and all required funds have been received by the company.
