4. Authorisation to the Board/Delegates to implement the Incentive Scheme (special resolution) – Votes in favour: 182.78 million (85.78%) – Votes against: 30.26 million (14.20%) – Abstentions: 0.04 million (0.02%)
Governance and administration • All directors attended the meeting in person. • Tricor Investor Services Limited acted as scrutineer for the poll. • No shareholders were required to abstain under Hong Kong Listing Rules, and no treasury or repurchased shares were outstanding.
With more than 50% support for ordinary resolutions and over two-thirds support for special resolutions, all proposals were duly approved, enabling UBTECH Robotics to proceed with its planned financing arrangements and the rollout of its H-share employee incentive programme.
