Zoomlion Heavy Industry Science and Technology Co., Ltd. (abbreviated “ZOOMLION”) has approved a five-year extension of its Stock Ownership Plan for Core Management (Phase I). The Board resolved at its eighth meeting of the seventh session on 27 August 2026 to move the plan’s expiry from 27 April 2027 to 27 April 2032, adding 60 months to the original term.
The decision follows endorsement by holders of more than two-thirds of the plan’s units at the 5th Holders’ Meeting on 21 August 2026. Under the plan rules, any extension requires both holder consent and Board approval, criteria that have now been met.
Background information shows that Phase I of the Stock Ownership Plan was initially adopted on 15 November 2019 and ratified by shareholders on 6 January 2020. A prior extension of 36 months was granted on 28 March 2024, shifting the end-date to 27 April 2027. With the latest resolution, the plan’s cumulative life now spans from its original effective date to 27 April 2032.
All other terms and conditions of the Stock Ownership Plan (Phase I) remain unchanged. The extension reflects continued confidence among participating managers in ZOOMLION’s long-term growth prospects and corporate value.
