MiniMax Group Inc. has scheduled an extraordinary general meeting (EGM) for 15 September 2026 at 2:00 p.m. (online format) to seek shareholder approval on four ordinary resolutions that reshape its key commercial arrangements and capital-raising flexibility.
Key resolutions up for vote:
1. Supplemental Master API Service Agreement with Alibaba Cloud • MiniMax requests endorsement of the revised agreement signed on 26 August 2026 and higher annual transaction caps for fiscal years 2026-2028. • A director will be authorised to execute all documents needed for implementation.
2. Supplemental Alibaba Cloud Services Agreement • Similar approval is sought for the 26 August 2026 supplemental cloud services pact with Alibaba Cloud and the related new caps for 2026-2028. • A director will be empowered to finalise all ancillary actions.
3. New General Mandate for Share Issuance • The existing mandate granted at the 11 June 2026 AGM will be revoked. • Directors are to receive a fresh, unconditional authority to allot, issue, sell or transfer up to 20% of the company’s issued share capital (excluding treasury shares) as at the EGM date, including the ability to grant options and other convertible securities. • This mandate runs until the earlier of the next AGM, the legal time limit for holding that AGM, or a shareholder resolution revoking the authority.
4. Extension Linked to Share Repurchases • Conditional on Resolution 3 passing, the new issuance mandate will be extended by an amount equal to the shares repurchased under the buy-back mandate approved at the 2025 AGM, capped at an additional 10% of the issued share base (excluding treasury shares) as at that AGM date.
Administrative details:
• The register of members will close from 10 September to 15 September 2026 (both days inclusive). Share transfers must be lodged by 4:30 p.m. on 9 September 2026 to qualify for voting rights. • Proxy forms must reach the Hong Kong share registrar, Tricor Investor Services Limited, by 2:00 p.m. on 13 September 2026. • All resolutions will be decided by poll, and results will be published on the HKEX and company websites.
