ZTO Express (Cayman) Inc. disclosed that between 12 and 26 August 2026 the company bought back a total of 2.13 million American depositary shares (ADSs), each representing one Class A ordinary share, on the New York Stock Exchange. The repurchases were executed at prices ranging from USD 21.22 to USD 23.00 per ADS, with a volume-weighted average cost of approximately USD 21.90. Aggregate consideration amounted to about USD 46.65 million.
Despite the buybacks, the company’s issued share capital remained unchanged at 557.33 million Class A ordinary shares and 206.10 million Class B ordinary shares, maintaining a total of 763.43 million shares as of 26 August 2026. The repurchased ADSs have not yet been cancelled and currently represent roughly 0.28 % of the total issued share base.
The transactions form part of the share-repurchase mandate authorised on 16 June 2026, which permits the repurchase of up to 76.60 million shares. Cumulative buybacks under this mandate now stand at 4.70 million shares, equivalent to 0.61 % of the company’s issued shares at the time the mandate was granted, leaving substantial headroom for further repurchases.
A moratorium on new share issuances or treasury-share disposals remains in effect until 25 September 2026, in line with Hong Kong Stock Exchange regulations.
